NXP Semiconductors ( NXP Semiconductors ), formerly known as Philips Semiconductor, was founded in 1953 by the Dutch company Philips. On August 31, 2006, the company's CEO Frans van Houten announced the company's new name to customers and employees in Berlin.

NXP Semiconductors currently provides semiconductor, system and software solutions; used in automobiles, mobile phones, smart identification applications, TVs, set-top boxes and other electronic devices.

development path

NXP Semiconductors was formerly a branch of Philips founded half a century ago, specializing in semiconductor research and development. In the 1980s, this branch made Philips the world's largest semiconductor manufacturer.

In 2006, Philips announced the sale of its semiconductor branch to a consortium composed of several Dutch investors and separated from Philips.

On March 3, 2015, NXP Semiconductors acquired peer Freescale in cash and stock. NXP will pay Freescale shareholders US$6.25 in cash and 0.325 NXP shares per share. Based on the purchase price, Freescale is estimated to be worth approximately US$11.8 billion. If debt is included, the purchase price will increase to US$16.7 billion. With a combined market value of more than US$40 billion, it will become the leader in the automotive and industrial semiconductor markets. After the merger is completed, NXP will become one of the top ten semiconductor manufacturers in the world due to the expansion of its revenue scale; if TSMC, which focuses on foundry, Micron and SK Hynix, which focus on memory as its main products, are considered SKHynix) is ignored, NXP already has the strength to challenge the top five global semiconductor manufacturers.

On October 27, 2016, Qualcomm planned to acquire NXP Semiconductors for US$37.88 billion for US$110 per share in cash. This acquisition, including debt, has a total value of US$47 billion.

On February 21, 2018, Qualcomm raised its bid to acquire NXP from US$110 per share to US$127.50, and the total value of the acquisition transaction would increase from approximately US$37.88 billion to approximately US$44 billion.

On July 25, 2018, Qualcomm announced that it would abandon the acquisition of NXP and pay NXP a breakup fee of US$2 billion. As the Ministry of Commerce of China issued the "Guiding Opinions on the Declaration of Concentration of Undertakings", it is stated that a concentration of undertakings only requires a total global annual turnover of more than 10 billion yuan, and at least two operators have a turnover in China of more than 400 million yuan in the previous year. , then it should be reported to the Ministry of Commerce of China for antitrust review. However, the process of Qualcomm's declaration to China coincided with the Sino-US trade dispute, and the acquisition was delayed in obtaining China's approval, and Qualcomm had to give up the acquisition.

On May 29, 2019, NXP Semiconductors spent US$1.76 billion in cash to acquire Marvell Electronic Technology’s wireless connection portfolio, including Marvell Electronic Technology’s WiFi connection business unit, Bluetooth technology portfolio and related assets.
